How Much Stamp Duty Does a Limited Company Pay?
For a supported single-dwelling purchase of at least £40,000, a company normally uses the higher residential bands. Above £500,000, a flat corporate charge may replace that calculation unless qualifying relief applies. An applicable non-resident surcharge can increase either calculation. The table below shows the banded calculation used in this tool from 1 April 2025. It does not apply where the flat corporate charge is due.| Portion of chargeable price | Company bands | With applicable non-resident surcharge |
|---|---|---|
| Up to £125,000 | 5% | 7% |
| Over £125,000 to £250,000 | 7% | 9% |
| Over £250,000 to £925,000 | 10% | 12% |
| Over £925,000 to £1,500,000 | 15% | 17% |
| Over £1,500,000 | 17% | 19% |
When Does the 17% Corporate Stamp Duty Rate Apply?
The flat 17% corporate charge can apply to a company’s acquisition of a dwelling for more than £500,000 where no relevant relief applies. It is charged on the full consideration, rather than only the amount above the threshold. The flat charge replaces the banded company calculation: do not add another 5% to it. If the 2% non-resident surcharge applies, the combined flat rate is 19%. Exactly £500,000 does not exceed this threshold. The calculator uses the full chargeable amount, including payable VAT, when checking the threshold. Read HMRC’s corporate-bodies guidance.Does a Buy-to-Let Company Automatically Qualify for Relief?
No. A company name, SPV structure or intention to let property does not by itself establish relief. A qualifying rental business must satisfy the applicable conditions. Other qualifying uses can also fall within specific relief provisions. Where qualifying rental-business relief removes the flat charge, the higher residential bands still apply. The calculator asks you to confirm the relief position; it does not assess eligibility. See HMRC’s rental-business relief guidance. Can Relief Be Withdrawn Later?
Yes. Changes during the relevant three-year control period can cause relief to be withdrawn. The detailed conditions and exceptions depend on the relief. The calculator does not monitor later occupation or business use, or calculate a clawback. Review HMRC’s withdrawal-of-relief guidance before relying on a claim.Worked Example: A £300,000 Company Property Purchase
For a supported residential purchase with £300,000 chargeable consideration and no non-resident surcharge, estimated SDLT is £20,000.- £125,000 at 5%: £6,250.
- £125,000 at 7%: £8,750.
- £50,000 at 10%: £5,000.
- Total: £20,000.
Worked Example: A £600,000 Company Purchase
The relief decision makes a substantial difference to a supported £600,000 residential purchase:| Confirmed treatment | Without non-resident surcharge | With non-resident surcharge |
|---|---|---|
| Qualifying corporate relief; company bands apply | £50,000 | £62,000 |
| No corporate relief; flat charge applies | £102,000 | £114,000 |
How Does the Non-Resident Surcharge Work for Companies?
The residential non-resident surcharge adds two percentage points to the relevant rates. Corporate residence tests differ from an individual’s day-count test. Certain UK-resident close companies under non-UK control can also fall within the surcharge rules. Do not select “No” just because the company is registered in the UK. Confirm the company’s position under the official non-resident guidance, including the close-company control rules. The tool accepts the confirmed outcome rather than attempting to classify a corporate ownership structure. How to Use the Limited Company Stamp Duty Calculator
- Select the location. England and Northern Ireland use this SDLT engine; Wales and Scotland are directed to their official tax services.
- Choose the property classification. Select one residential dwelling or wholly non-residential property.
- Select the interest being bought. Choose freehold or a supported existing-lease assignment and confirm any lease conditions shown.
- Confirm the transaction scope. Check that no excluded specialist features apply.
- Enter the full chargeable price. Do not enter only the deposit or mortgage balance.
- Confirm VAT treatment. Avoid adding VAT twice to a price that already includes it.
- Confirm the residential tax treatment. State whether the non-resident surcharge applies and, above £500,000, whether qualifying corporate relief applies.
- Add optional costs and the effective date. These provide a budget subtotal and indicative filing deadline.
- Calculate and inspect the result. Review the treatment, bands and assumptions before comparing or downloading it.
Can a Company Calculate Stamp Duty on Commercial Property?
Yes. This calculator supports straightforward wholly non-residential company purchases. It uses 0% on the first £150,000, 2% on the next £100,000 and 5% above £250,000, without the residential company uplift or residential non-resident surcharge. Mixed-use transactions are excluded because allocating and classifying residential elements can require a separate assessment. See HMRC’s non-residential rates.Does the Purchase Price Include VAT?
Any VAT payable on the transaction forms part of the chargeable consideration. Expected VAT recovery does not remove it from the SDLT base. The tool lets you enter an inclusive price, add 20% where applicable, or specify a confirmed VAT figure. Do not assume VAT applies to every property. Confirm its treatment separately, including any option-to-tax, exemption or transfer-of-a-going-concern issues. See HMRC’s consideration guidance.Understanding Your Company SDLT Result

- Estimated SDLT: the tax calculated from your supported inputs.
- Effective rate: estimated SDLT divided by the chargeable amount.
- Tax-band breakdown: shows the amount assessed at each applicable rate.

When Must a Company File and Pay SDLT?
The usual deadline is 14 days after the effective date. This is often completion, but substantial performance can bring it forward. The calculator shows an indicative date when you enter the effective date; it does not file, pay or create an external reminder. A zero-tax estimate does not determine whether a return is required. Consult HMRC’s filing guidance.Which Company Purchases Need Separate Advice?
