Terms & Conditions

PLEASE READ THESE TERMS CAREFULLY. THE TOOLS ON LEGAL SPARROW CLOUD ARE FREE, GENERAL-PURPOSE UTILITIES. THEY DO NOT PROVIDE LEGAL ADVICE (CLAUSE 5), THEIR OUTPUT MUST BE CHECKED BEFORE YOU RELY ON IT (CLAUSE 6), YOU ARE RESPONSIBLE FOR WHAT YOU ENTER OR UPLOAD (CLAUSES 6 AND 8), AND OUR LIABILITY IS LIMITED (CLAUSE 14). LEGAL SPARROW IS A TECHNOLOGY PROVIDER. IT IS NOT A LAW FIRM, AND NO LAWYER–CLIENT RELATIONSHIP IS CREATED BY YOUR USE OF THE SITE. IF YOU ARE A CONSUMER, NOTHING IN THESE TERMS AFFECTS YOUR STATUTORY RIGHTS.

1. About Us and These Terms

1.1 legalsparrow.cloud (“Legal Sparrow Cloud” or the “Site”) is operated by Legal Sparrow (Private) Limited, a private limited company registered in the United Kingdom under Registration No. 17363806 and in Pakistan under Registration No. 0332402, whose registered office is at 356 Morrison Drive, AB10 7EN, Aberdeen, Scotland, United Kingdom (“Legal Sparrow”, “we”, “us”, “our”). Our general contact email is contact@legalsparrow.com and formal legal notices must be sent to legal@legalsparrow.com.

1.2 These Terms and Conditions (the “Terms”) and our Disclaimer (published at legalsparrow.cloud/disclaimer) form a legally binding agreement between you (including any organisation on whose behalf you act) and Legal Sparrow governing your access to and use of the Site and its Tools.

1.3 Our Privacy Policy (and any cookie notice) explains how we handle personal data. They are informational notices and do not form part of the contract between us, but you should read them before using the Tools.

1.4 Separate from legalsparrow.com. Legal Sparrow Cloud is a free utilities site. It is separate from the Legal Sparrow AI legal research platform at legalsparrow.com, which is governed by its own terms of service, privacy policy and data processing addendum. Those documents do not apply to the free Tools unless we say so, and these Terms do not apply to the paid platform.

1.5 Order of precedence. If these Terms and the Disclaimer conflict, these Terms prevail, except that nothing in either document reduces rights that cannot lawfully be waived. Website copy, tool descriptions, marketing statements, statistics (such as the number of Tools or categories), blog posts, FAQs and screenshots form no part of the contract and create no warranty.

2. Definitions and Interpretation

2.1 In these Terms:

“Consumer” means an individual acting wholly or mainly for purposes outside their trade, business, craft or profession (for example, a member of the public researching a personal matter, or a student using the Site for personal study). Where these Terms refer to a “General User“, they mean a Consumer.

“Professional User” means any person who uses the Site for purposes relating to their trade, business, craft or profession, including advocates, solicitors, barristers, law firms, chambers, in-house legal teams, companies, public bodies and their staff.

“Tools” means every calculator, converter, generator, template, checklist, editor, parser, checker, utility and other functionality made available on the Site, including legal calculators, contract, NDA and agreement templates, legal document generators and editors, court-filing templates, compliance checklists, PDF, OCR and conversion tools, finance, business, health, home, math and unit calculators, text, web, SEO and developer utilities, and any tool we add later.

“Output” means anything a Tool produces or returns, including calculation results, dates, figures, generated or completed documents, converted, merged, split, edited, signed, redacted or protected files, extracted text, scores, summaries and suggestions.

“Your Content” means all text, numbers, data, files, images and other materials that you enter into, upload to or otherwise submit to a Tool.

“Legal Materials” means statutes, rules, rates, fee and duty schedules, limitation periods, forms, templates, checklists and other legal or reference information built into or displayed by the Tools or the Site.

“Third-Party Services” means services, websites, advertisements and content provided by someone other than us, including advertising networks, analytics providers, hosting and security providers and any provider that processes files for a Tool.

2.2 Headings are for convenience only. “Including” and similar words are illustrative. A reference to a statute includes any amendment or re-enactment of it. “Writing” includes email. To the extent the law allows, these Terms are to be construed fairly and neutrally and not against the party that drafted them.

3. Acceptance, Eligibility and Capacity

3.1 How you accept. No account is needed to use most Tools. You accept these Terms by accessing or using the Site or any Tool, and, where a Tool shows a notice or box that asks you to confirm, by confirming it. This electronic acceptance is valid and enforceable under the Electronic Transactions Ordinance 2002 (Pakistan), the Electronic Communications Act 2000 (UK) and equivalent laws. If you do not agree, you must stop using the site.

3.2 Age and capacity. The Site is intended for adults. You must be at least eighteen (18) years old, or the age of majority where you live, and have legal capacity to be bound by these Terms. A person aged 13 to 17 may use the general calculators and educational content only with the knowledge and supervision of a parent or guardian, who is responsible for that use. The Site is not directed at children under 13 and we do not knowingly collect their personal data.

3.3 Acting for an organisation. If you use the Site on behalf of a firm, chambers, company or other organisation, you confirm you have authority to bind it, and “you” includes that organisation.

3.4 Professional or General User. The distinction in these Terms between Professional Users and General Users depends on the purpose for which you actually use the Site, not on how you describe yourself.

3.5 Restricted persons. You confirm that you are not located in, or ordinarily resident in, a country or territory subject to comprehensive sanctions imposed by the United Nations Security Council, Pakistan, the United Kingdom, the European Union or the United States, and are not a person designated on an applicable sanctions list. If you are, you must not use the Site.

4. The Site and the Tools

4.1 Free of charge. The Site offers free online Tools in the categories described on it. We describe the Site as offering “1000+” tools; this is an approximate, promotional figure and the number and categories of Tools change over time. Free Tools carry no service commitment, and nothing on the Site is an offer of paid services.

4.2 “As is” and “as available”. Tool descriptions are an illustrative guide only. Tools are provided on an “AS IS” and “AS AVAILABLE” basis (see clause 13).

4.3 Jurisdictions. The Tools are built mainly around selected aspects of the law and practice of Pakistan and the United Kingdom. The United Kingdom contains separate legal systems (England and Wales, Scotland and Northern Ireland), and a Tool built for one of them must not be assumed to apply to another. Where a Tool states a jurisdiction, statute, version, rate or “as at” date, that statement applies. Coverage of any jurisdiction, court, period or area of law is not complete and may not reflect recent amendments, rate changes or judgments. Other jurisdictions are not covered unless a Tool says so.

4.4 Changes and withdrawal. We may add, change, suspend or withdraw any Tool, feature or the Site (including “Recently Used” and “Saved Tools”) at any time, with or without notice, and without liability to you. You should keep your own copy of anything you need.

4.5 Newer and beta Tools. Tools labelled “Beta”, “New”, “Preview” or similar are experimental and may be less reliable than others.

4.6 Availability. We use reasonable efforts to keep the Site available but do not guarantee continuous, uninterrupted or error-free access. We may suspend access for maintenance, security or reasons outside our reasonable control, including failures of hosting, telecommunications or third-party providers.

4.7 Limits. We may apply file-size, usage, rate and fair-use limits, and may throttle, queue or block use that exceeds them or threatens the stability or security of the Site.

4.8 Your equipment. You are responsible for your device, browser, internet connection and any charges your provider makes.

5. No Legal, Financial, Medical or Other Professional Advice

THE SITE, THE TOOLS AND ALL OUTPUT ARE GENERAL INFORMATION AND UTILITIES ONLY. THEY ARE NOT LEGAL ADVICE OR ANY OTHER PROFESSIONAL ADVICE, DO NOT TAKE ACCOUNT OF YOUR FACTS AND CIRCUMSTANCES, AND ARE NOT A SUBSTITUTE FOR A QUALIFIED PROFESSIONAL.

5.1 No legal advice; no lawyer–client relationship. We do not practise law, are not regulated as a provider of legal services, do not carry out reserved legal activities (within the meaning of the Legal Services Act 2007 (UK)) and do not act as an advocate (within the meaning of the Legal Practitioners and Bar Councils Act 1973 (Pakistan)). No lawyer–client, fiduciary or advisory relationship arises between you and Legal Sparrow, and using the Site is not communicating with a lawyer. Nothing you enter is a privileged communication.

5.2 Time limits and deadlines. Tools that calculate limitation periods, notice periods, deadlines, court fees, stamp duty, interest, dates or similar figures give an indicative result only. Limitation and other time limits depend on the precise facts, the cause of action, the forum and rules that can extend, suspend, exclude or restart a period, as well as weekends, public holidays and court closures. No Tool can determine whether a claim is in time. You must never rely on a Tool alone to decide whether to bring or defend a claim, whether a claim is time-barred, or when to file or serve a document. If a time limit may be close, take advice from a qualified lawyer immediately.

5.3 Templates and generated documents. Contract, NDA, agreement, court-filing and other templates and generated documents are general-purpose. They are not prepared for your circumstances and may be unsuitable, incomplete, out of date or ineffective in your jurisdiction. Stamping, registration, attestation, witnessing, notarisation or other formalities may be needed for a document to be valid or admissible. Obtain advice before you use, sign, file or send any document.

5.4 Other fields. Finance, business, investment, tax, crypto, health and fitness, construction, home and similar calculators give general, illustrative figures and are not financial, tax, investment, medical, engineering or other professional advice. Consult a suitably qualified professional before acting.

5.5 Educational and exam-preparation content. Blog posts, explanatory content and exam-preparation material (including Law GAT-related content) are for general education only. We do not guarantee any exam result and are not affiliated with any examining body, court, bar council, regulator or government body unless we say so.

5.6 The Disclaimer sets out these points in more detail and forms part of these Terms.

6. Your Responsibilities

6.1 You are solely responsible for: (a) Your Content and the settings you choose, including jurisdiction, dates, rates, version and document type; (b) checking every Output against primary, official and authoritative sources (for example official gazettes, government legislation websites, current rate schedules, court rules and the court’s own calendar) and exercising your own judgement before you rely on, file, serve, sign, send or provide it to any client, court, tribunal, regulator, bank or other person; (c) all decisions you make and actions you take; and (d) making sure your use of the Site is lawful where you are.

6.2 Lawyers and legal professionals. If you are a legal practitioner you remain bound by your professional obligations, including competence, supervision, confidentiality and candour to the court, under the rules of the Pakistan Bar Council and provincial bar councils, the Solicitors Regulation Authority, the Bar Standards Board or any other regulator to which you are subject. Using the Site does not discharge or delegate those duties. Courts have sanctioned practitioners who placed inaccurate or unverified material before them.

6.3 Members of the public. If you are not a qualified lawyer, obtain advice from a suitably qualified and regulated lawyer before taking, or deciding not to take, any step on a legal matter, particularly before filing documents with a court or relying on a deadline.

6.4 Confidential and privileged material. The free Tools are not designed as a secure environment for privileged, confidential or highly sensitive material. Before you enter or upload client documents, privileged material or personal data about other people, you must decide whether it is appropriate, check whether the relevant Tool states that it works entirely in your browser, remove or anonymise what you do not need, and comply with your professional rules, client engagement terms and data-protection law. We cannot tell whether a document is privileged, and any warning a Tool gives is indicative only. If you cannot meet these conditions, do not use the Tool for that material.

6.5 Rights in Your Content. You confirm that you own or have the rights, consents, permissions, lawful basis and notices needed (including under data-protection, confidentiality, privilege, copyright, court-order, reporting-restriction and professional rules) to enter or upload Your Content and have it processed as described in these Terms and the Privacy Policy, and that doing so will not breach any law, court order or duty owed to anyone.

7. Particular Categories of Tools

7.1 Legal calculators and checklists. Results depend on the assumptions, inputs, statutes and “as at” dates stated in or behind the Tool, and may omit exceptions, exclusions, extensions and later amendments. Compliance checklists are prompts for your own review and do not certify that you or anyone else complies with any law.

7.2 Document generators, templates and editors. You must read, adapt and check every generated or edited document in full. We do not warrant that any document is valid, enforceable, complete or suitable for your purpose, or that it will be accepted by any court, registry, authority or counterparty.

7.3 PDF, OCR and conversion tools. Conversion and OCR can alter layout, lose formatting or mis-read text. Keep your originals and check every result. You must keep your own copy of any password you set, because we cannot recover it.

7.4 Redaction, metadata and security tools. Redaction, metadata-removal, password-protection and unlocking tools are aids only. We do not guarantee that information has been irreversibly removed or that a file is secure. You must check a redacted or cleaned file (for example by searching it, selecting text and inspecting its properties) before you share it. You may unlock or remove restrictions only from files you own or are authorised to open.

7.5 Signing tools. Adding a signature image or using a “Fill & Sign” or “Sign PDF” Tool does not by itself verify anyone’s identity or guarantee that an electronic signature is legally valid. Validity depends on the type of document, the applicable law (for example the Electronic Transactions Ordinance 2002 (Pakistan) or the Electronic Communications Act 2000 (UK)) and the parties’ agreement. Some documents, such as wills, deeds and certain property documents, may need specific formalities.

7.6 Identity, financial and personal documents. Tools that crop, extract or parse identity documents, bank statements, labels, CVs or similar records may only be used for documents you are entitled to handle, for yourself or with the holder’s authority and lawful basis. We do not verify documents or the person using the Tool.

7.7 Developer, security and generator utilities. Password, API-key, hash, encoding and similar utilities are provided for convenience. Do not rely on them for security-critical purposes unless you have assessed them, and do not enter live passwords, secrets or production credentials into any online Tool.

8. Your Content and Files

8.1 Ownership. As between you and us, you keep all rights in Your Content. We claim no ownership of it.

8.2 Limited licence to us. You give us and our service providers a worldwide, non-exclusive, royalty-free licence, for as long as needed to complete your request, to host, store, copy, transmit, process, convert, analyse and display Your Content solely to (a) run the Tool you have asked to use and return Output to you; (b) secure the Site and prevent abuse and fraud; and (c) comply with law.

8.3 How files are processed. Depending on the Tool, Your Content may be processed entirely in your browser or may be sent to our servers or to service providers so that the Tool can work. Where a Tool sends Your Content away from your device, we process it temporarily and delete it automatically within [●] hours after your request is completed, or sooner when your session ends, unless the law requires us to keep it. Our staff do not read Your Content as a matter of routine. Access is limited to security, abuse investigation, support you request, or legal compliance. Our Privacy Policy gives further detail.

8.4 No sale; no AI training. We do not sell Your Content, do not use it for advertising and do not use it to train or improve any artificial-intelligence or machine-learning model.

8.5 Not a storage service. The Site is not a storage or archive service. You must keep your own copies of Your Content and Output. We are not responsible for loss or corruption of data. “Recently Used” and “Saved Tools” are conveniences that may be lost if you clear your browser data or if we change or remove them.

8.6 Feedback. If you send us suggestions, ideas or bug reports (“Feedback”), you give us a perpetual, worldwide, royalty-free licence to use them without obligation to you. Feedback does not include Your Content.

9. Output, Templates and Intellectual Property

9.1 Our rights. The Site, its software, code, design, Tools, templates, text, graphics, databases, compilations, and the trade marks “Legal Sparrow”, “Legal Sparrow Cloud”, our logo and Tool names are owned by Legal Sparrow or its licensors and are protected by the Copyright Ordinance 1962 and Trade Marks Ordinance 2001 (Pakistan), the Copyright, Designs and Patents Act 1988 and the Copyright and Rights in Databases Regulations 1997 (UK), and other laws. No rights are granted except as stated in these Terms.

9.2 Licence to use the Site. We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Tools for your own personal purposes or your own internal professional purposes (including work for your clients), in accordance with these Terms.

9.3 Output. As between you and us, you may use Output, including documents you generate from templates, for your own lawful personal or professional purposes. We make no representation that Output is protected by copyright or that it does not reproduce third-party material. You may not resell, republish or redistribute our templates or Tools themselves as a template library, compilation, product or competing service.

9.4 Legal Materials. Legal Materials are provided for your reference convenience only and are not official versions. Public-sector materials may be subject to their own licences (for example Crown copyright, the UK Open Government Licence or Pakistani government notices). Refer to official sources for authoritative text.

9.5 Third-party names. Third-party names, trade marks and logos belong to their owners. Their appearance on the Site does not mean they are affiliated with or endorse us.

9.6 Infringement notices. If you believe content on the Site infringes your rights, send legal@legalsparrow.com enough detail to identify the material (including its URL), the work or right concerned and your interest in it. We will act promptly on valid notices.

10. Acceptable Use

10.1 You must not use the Site or any Tool to:

(a) break any law, or facilitate, plan or conceal any crime, fraud, money laundering, sanctions evasion, bribery or corruption;

(b) forge, fabricate or tamper with any document, evidence, affidavit, judgment, court order, seal, stamp, signature, identity document, bank statement or certificate, or create a document intended to deceive a court, authority, bank or any person, including by using editing, annotation, fill-and-sign, label, parsing or generator Tools;

(c) remove passwords, protection or restrictions from files you do not own or are not authorised to open, or unlawfully circumvent any technical protection measure;

(d) process another person’s personal data, identity documents or financial records without authority and a lawful basis, or to harass, stalk, profile, expose or surveil anyone;

(e) upload or generate content that is unlawful, infringing, defamatory, hateful, threatening, sexually explicit or exploitative, or that involves the abuse or exploitation of children (which we will report to law enforcement), or that breaches the Prevention of Electronic Crimes Act 2016 (Pakistan), the Computer Misuse Act 1990 (UK) or equivalent laws;

(f) upload malware or files designed to exploit parsers, probe, scan or test the Site’s security without our written authorisation (report vulnerabilities to security@legalsparrow.com), or carry out denial-of-service, flooding or resource-exhaustion attacks;

(g) scrape, crawl, harvest or bulk-download Tools, templates, Legal Materials or other content, use bots or automated means to access Tools, or circumvent usage limits, except for ordinary search-engine indexing in line with our robots.txt or an interface we expressly provide;

(h) copy, mirror, frame, reverse engineer, decompile or derive the source code of any Tool, or resell, sublicense, white-label or embed the Tools or templates in another product or service;

(i) use the Site, Output or Legal Materials to build, train, fine-tune or benchmark a competing product or any machine-learning model;

(j) remove or alter copyright notices, attributions or disclaimers that accompany a Tool, template or Output;

(k) misrepresent your identity, qualifications or practising status, imply our endorsement, or use the Site to provide legal services that a law reserves to qualified or regulated persons;

(l) generate artificial ad impressions or clicks, or otherwise interfere with advertising on the Site.

10.2 High-risk uses. The Site is not designed to be the sole basis for time-critical, liberty-affecting or safety-critical decisions (for example bail, limitation deadlines, criminal defence, immigration or child-welfare matters). In those matters you must apply independent professional review.

10.3 Reporting. Report breaches of this clause, harmful content or security concerns to abuse@legalsparrow.com.

10.4 Enforcement. If we reasonably believe you have breached this clause 10, we may take proportionate action, including removing content, limiting or blocking access (including by IP address or device), and reporting the matter to law enforcement, a regulator or a bar council where we are legally required to or reasonably believe there is a serious risk of harm or crime.

11. Advertising, Third-Party Services and Links

11.1 Advertising. The Site is funded in part by advertising, including Google AdSense. Advertisements may appear on pages of the Site, including Tool pages. Advertisements are not content we have written or verified.

11.2 No endorsement. Advertisers and other third parties are independent of us. We do not endorse them or their products or services, and we are not responsible for advertisements, linked websites or your dealings with third parties. An advertisement for a lawyer or legal service is not a recommendation: check any lawyer’s credentials with the relevant bar council or regulator.

11.3 Third-Party Services. The Site relies on and links to Third-Party Services, which have their own terms and privacy practices. Except where a provider is our service provider for a Tool, we are not responsible for them.

11.4 Our other services. We may link to or promote legalsparrow.com and other Legal Sparrow services. Those promotions are marketing, and the paid platform is governed by its own terms. The free Tools are not conditional on buying anything.

12. Privacy and Data Protection

12.1 We handle personal data as described in our Privacy Policy (legalsparrow.cloud/privacy-policy) and applicable data-protection law, including the UK GDPR, the Data Protection Act 2018, the EU GDPR where it applies, and the laws of Pakistan.

12.2 Other people’s data in your files. Where you put personal data about other people into a Tool, you decide why and how it is processed. We process it only to run the Tool you have asked for. We do not offer a data processing agreement for the free Tools. If your obligations require one, you must not enter that data into them.

12.3 Security. We use reasonable technical and organisational measures to protect the Site and data we handle. No method of transmission or storage is completely secure, and we do not warrant that Your Content will never be accessed without authority. If a security breach affecting your personal data occurs, we will notify you and regulators as the law requires.

13. Warranties and Disclaimers

13.1 Your statutory rights. If you are a Consumer, you may have rights under your local consumer law (for example, in the UK, the Consumer Rights Act 2015, and in Pakistan, the Punjab Consumer Protection Act 2005 and other provincial and federal consumer-protection laws). Nothing in these Terms excludes or limits those rights.

13.2 Subject to clause 13.1 and clause 14.1, and to the maximum extent permitted by law, THE SITE, THE TOOLS, OUTPUT AND LEGAL MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE”. WE DO NOT WARRANT THAT THEY WILL BE ACCURATE, COMPLETE, CURRENT, OFFICIAL OR FREE OF ERRORS; THAT ANY CALCULATION, DATE, DEADLINE, RATE OR LEGAL STATEMENT IS CORRECT; THAT ANY DOCUMENT IS VALID OR ENFORCEABLE; THAT THE SITE WILL BE UNINTERRUPTED OR FREE OF VIRUSES; OR THAT USING OUTPUT WILL ACHIEVE ANY RESULT IN ANY PROCEEDING OR TRANSACTION. All other warranties, conditions and terms, whether express or implied by statute, common law or otherwise (including as to satisfactory quality, fitness for a particular purpose and non-infringement), are excluded in relation to Professional Users.

14. Limitation of Liability

14.1 Liability that cannot be limited. Nothing in these Terms excludes or limits liability for (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) for Consumers, breach of statutory rights that cannot lawfully be limited; or (d) any other liability that cannot be excluded or limited under applicable law, including section 2(1) of the Unfair Contract Terms Act 1977 and Part 2 of the Consumer Rights Act 2015 (UK).

14.2 Professional Users: excluded losses. Subject to clause 14.1, we are not liable to a Professional User, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation or otherwise, for any: (a) loss of profits, revenue, business, contracts, fees or anticipated savings; (b) loss of goodwill or reputation; (c) loss arising from any claim, complaint or disciplinary proceeding brought against you by a client, court, regulator or other third party in connection with your reliance on Output, including missed deadlines, time-barred claims and defective documents; (d) costs orders, wasted costs or sanctions imposed on you; (e) loss or corruption of data; or (f) indirect, special or consequential loss; in each case whether or not foreseeable.

14.3 Cap for free use. Because the Tools are provided free of charge, and to the extent permitted by law, our total aggregate liability to you arising out of or in connection with the Site and these Terms shall not exceed PKR 25,000 or GBP 100 (or equivalent).

14.4 General Users. If you are a Consumer, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill. We are not responsible for loss that is not foreseeable, or for business losses, as the Site is provided to Consumers for personal use only. Losses caused solely by your reliance on Output without the checking or professional advice required by clauses 5 and 6 are not losses caused by our breach, except to the extent the Output was defective because we failed to use reasonable care and skill.

14.5 Third parties. We are not liable for the acts, omissions, content or advertising of third parties, or for failures of Third-Party Services we do not control.

14.6 Time limit (Professional Users). A Professional User must bring any claim against us within two (2) years of becoming aware, or when they ought reasonably to have become aware, of the facts giving rise to it, to the extent the law permits.

14.7 Reasonableness. You acknowledge that the Site is free, that Output must be checked by you, and that these limits are reasonable and reflect the allocation of risk between us.

15. Indemnity

15.1 Professional Users. You shall indemnify and hold harmless Legal Sparrow, its directors, officers and employees against all losses, damages, fines, penalties, costs and reasonable legal fees arising out of any third-party claim or regulatory action to the extent it arises from (a) Your Content, including any claim that its upload or processing in line with these Terms infringes rights, breaches confidence or privilege, or breaches data-protection law; (b) your breach of clause 6 or clause 10; or (c) your reliance on, or provision to any client, court or third party of, Output.

15.2 General Users. If you are a Consumer, you are responsible for loss we suffer as a foreseeable result of your breach of clause 10, to the extent the law allows.

15.3 The indemnified party must tell the other promptly of any claim, allow it conduct of the defence and settlement (but no settlement admitting liability on the indemnified party’s behalf may be made without its consent, not to be unreasonably withheld), and give reasonable cooperation.

16. Suspension and Termination

16.1 You may stop using the Site at any time.

16.2 We may suspend, restrict or block your access to all or part of the Site immediately, without liability, if we reasonably believe that (a) you are in breach of these Terms, particularly clause 10; (b) your use poses a security, legal or operational risk to the Site, us or others; or (c) the law, a court or a regulator requires it. Where reasonably practicable and lawful, we will tell you why.

16.3 Survival. Clauses 5 to 9, 13 to 15 and 18 to 20, and any other provision that by its nature is intended to survive, continue to apply after you stop using the Site or we restrict your access.

17. Changes to These Terms

17.1 We may update these Terms to reflect changes in law, regulatory guidance, our Tools, providers, security practices or our business. The current version, with its effective date, is always available at legalsparrow.cloud/terms-and-conditions.

17.2 For material changes that adversely affect you, we will display a prominent notice on the Site for at least fourteen (14) days before the change takes effect (or a shorter period if the law or a security risk requires). By continuing to use the Site after a change takes effect you accept the updated Terms. If you do not agree, you must stop using the Site. Earlier versions are available on request.

18. Complaints, Error Reports and Contact

18.1 Complaints. Email complaints@legalsparrow.com (or contact@legalsparrow.com) with a description of the issue and any supporting information. We will acknowledge your complaint within two (2) business days and aim to give a substantive response within fourteen (14) days and, for complex matters, to resolve it within thirty (30) days.

18.2 Error reports. If you think a Tool, calculation, template, rate or statement on the Site is wrong or out of date, please tell us the Tool, the URL, what you entered and what you expected. We will review reports in good faith. A report or a correction does not create any warranty or duty to update.

19. Governing Law and Disputes

19.1 Good-faith resolution. Before starting proceedings (other than for urgent injunctive or interim relief), the party with a dispute shall notify the other in writing, and the parties shall try in good faith to resolve it within thirty (30) days.

19.2 Governing law. These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or the Site are governed by the laws of the Islamic Republic of Pakistan.

19.3 Professional Users. The courts at Lahore, Pakistan, have exclusive jurisdiction over any dispute with a Professional User.

19.4 General Users. If you are a Consumer, you may bring proceedings in the courts at Lahore or before any competent consumer court or forum in Pakistan. If you are habitually resident in the United Kingdom or another country whose law gives you mandatory consumer protection, you also keep those protections and may bring proceedings in the courts of your country of residence (in the UK, the courts of England and Wales, Scotland or Northern Ireland, as applicable). We will not require a Consumer to arbitrate.

19.5 Interim relief. Nothing in this clause stops either party seeking urgent injunctive or interim relief from any competent court to protect confidential information, intellectual property or the security of the Site.

19.6 ADR. UK Consumers may contact an alternative dispute resolution provider. We will tell you on request whether we are willing to use a particular scheme.

20. General

20.1 Entire agreement. These Terms and the Disclaimer are the entire agreement between you and us about the Site and supersede any earlier understanding. You have not relied on any statement that is not set out in them. Nothing in this clause limits liability for fraud or any Consumer statutory right.

20.2 Severance. If any provision is found invalid or unenforceable, it is modified to the minimum extent needed to make it enforceable or, if that is not possible, deleted, without affecting the rest.

20.3 Waiver. A failure or delay in exercising a right or remedy is not a waiver of it.

20.4 Assignment. We may assign or transfer our rights and obligations under these Terms to an affiliate or to a successor in a merger, acquisition, reorganisation or sale of relevant assets, provided your rights are not reduced. You may not assign or transfer yours without our written consent.

20.5 Third-party rights. Except for the persons referred to in clause 15.1 (who may enforce that clause), no one other than you and us may enforce these Terms, whether under the Contracts (Rights of Third Parties) Act 1999 (UK) or otherwise.

20.6 Events beyond our control. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, government action, failure of public networks, internet shutdowns or failure of a hosting or other third-party provider not caused by the affected party, or cyber-attacks that could not reasonably have been prevented.

20.7 Relationship. Nothing in these Terms creates a partnership, joint venture, agency, employment or fiduciary relationship.

20.8 Notices. We may give you notices by posting them on the Site or, if you have contacted us, by email.
