1Your transaction

Exclude linked purchases, reliefs or exemptions, connected-party transfers, partnerships, trusts, exchanges, debt assumption, non-cash or uncertain consideration, shared ownership, six or more dwellings, and transitional contracts. For leases, also exclude linked leases, overlap relief and surrender/regrant.

2Price & tax treatment

Use the full chargeable property price. Do not deduct your deposit, mortgage, legal fees or assumed VAT recovery.
VAT treatment must be confirmed separately. An option to tax does not settle every case; TOGC and mixed-use apportionments can need advice.
Optional budget & filing details
For example, quoted legal, survey and registration costs. These are added to the budget, not the taxable price.
Usually completion, but substantial performance can bring it forward. Supported dates start 1 March 2019. Future dates use the checked rates as a planning assumption.

About This Tool

The Commercial Stamp Duty Calculator helps you estimate Stamp Duty Land Tax (SDLT) on qualifying commercial property purchases in England and Northern Ireland. Enter your property price, confirm the VAT treatment and see a detailed tax-band breakdown. You can also compare purchase scenarios, add other buying costs and estimate tax on a new commercial lease using a verified rent net present value (NPV).

What Does the Commercial Stamp Duty Calculator Do?

This free tool turns your transaction details into a transparent commercial SDLT estimate, helping you understand the calculation before budgeting for a purchase or discussing the transaction with your conveyancer.

  • Calculates standard-rate SDLT for supported non-residential freehold purchases.
  • Accepts confirmed mixed-use transactions within the calculator’s stated scope.
  • Handles VAT-inclusive prices, 20% VAT additions and separately confirmed VAT amounts.
  • Shows how much of your price falls into each tax band.
  • Calculates separate premium and rent-NPV tax components for supported new leases.
  • Adds your entered legal, survey and other costs to a purchase budget.
  • Compares up to three calculation snapshots.
  • Provides an indicative filing deadline when you enter the effective date.
  • Lets you copy your result, download a text report or use your browser’s Print / PDF option.

How Is Commercial Stamp Duty Calculated?

For a standard qualifying purchase in England or Northern Ireland, commercial SDLT is calculated progressively: 0% on the first £150,000, 2% on the next £100,000 and 5% on the portion above £250,000. Each rate applies only to the amount within its band, rather than to the entire purchase price.

Standard commercial SDLT rates for purchases and lease premiums
Portion of chargeable consideration SDLT rate
Up to and including £150,000 0%
Over £150,000 up to and including £250,000 2%
Over £250,000 5%

These are the standard bands used by the calculator. Reliefs, linked transactions and special statutory rules can change the outcome. See the official HMRC non-residential SDLT rates.

Worked Example: Stamp Duty on a £500,000 Commercial Property

A straightforward commercial freehold purchase with chargeable consideration of £500,000 produces an estimated SDLT bill of £14,500, assuming no relief or special rule applies.

  • First £150,000 at 0%: £0.
  • Next £100,000 at 2%: £2,000.
  • Remaining £250,000 at 5%: £12,500.
  • Total estimated SDLT: £14,500.

The effective tax rate is 2.90% of the £500,000 chargeable amount. The price plus estimated SDLT is £514,500 before any additional buying costs.

Does Commercial Stamp Duty Include VAT?

Yes. VAT payable on the property transaction forms part of the chargeable consideration used to calculate SDLT. Expected VAT recovery does not mean you should remove that VAT from the SDLT calculation.

For example, a property price of £500,000 plus £100,000 VAT gives a chargeable amount of £600,000. Applying the standard commercial bands produces estimated SDLT of £19,500.

Which VAT Option Should You Select?

  • No VAT payable: choose this only when the transaction’s VAT treatment has been confirmed.
  • VAT already included: use this when the amount entered contains all VAT payable on the price or premium.
  • Add 20% VAT: use this when the entire entered amount is exclusive of VAT and subject to the standard rate.
  • Add a confirmed VAT amount: enter the specific VAT figure separately when that is appropriate to your transaction.

The calculator does not determine VAT liability. An option to tax, a transfer of a going concern or a transaction involving different property elements may require separate advice. Read HMRC’s chargeable-consideration guidance.

How to Use the Commercial Stamp Duty Calculator

  1. Select the property location. The SDLT calculation supports England and Northern Ireland. Wales and Scotland are directed to their separate official tax services.
  2. Choose the transaction type. Select a freehold purchase or a new lease with a verified rent NPV.
  3. Confirm the property classification and buyer type. Use a classification already established for tax purposes.
  4. Check the transaction’s scope. Confirm that none of the excluded specialist features apply.
  5. Enter the price or lease premium. Use the full chargeable amount rather than your deposit or mortgage balance.
  6. Select the VAT treatment. Avoid adding VAT twice to an already-inclusive amount.
  7. Add lease information if applicable. Enter the externally verified rent NPV and confirm that it reflects the relevant lease terms.
  8. Add optional details. Enter other buying costs and the effective date if you want a budget subtotal and filing reminder.
  9. Calculate and review. Check the assumptions and tax bands, then compare, copy, download or print your result.

How Does Stamp Duty Work on a New Commercial Lease?

A new commercial lease can generate two separate SDLT charges: one on the lease premium and another on the net present value of the rent. The premium is assessed using the purchase bands; rent NPV uses a separate rate table.

Standard SDLT bands for rent NPV on a new non-residential lease
Portion of rent NPV SDLT rate
Up to and including £150,000 0%
Over £150,000 up to and including £5,000,000 1%
Over £5,000,000 2%

What Is Net Present Value of Rent?

NPV is a discounted value of rent over the lease term. It is not the annual rent, the security deposit or simply the sum of all future rent payments. Payable VAT on rent must be reflected in the NPV calculation.

This tool accepts a verified NPV; it does not calculate one from a rent schedule. Obtain the figure using the HMRC SDLT calculator or your adviser. Check the official lease guidance for the treatment of rent changes and other lease terms.

Understanding Your Calculation Results

  • Estimated commercial SDLT: the standard-rate tax calculated from the supported details you entered.
  • Taxable price or premium: the amount assessed after any VAT addition.
  • Effective rate: purchase SDLT as a percentage of the taxable purchase price. In lease mode, the displayed rate relates to the premium component.
  • Band breakdown: the amount falling within each band and its tax contribution.
  • Gross acquisition budget: the purchase price, VAT added, estimated SDLT and other costs you entered.
  • Lease subtotal: the premium, VAT added, total estimated SDLT and entered costs. It excludes ongoing rent, deposits and unentered expenses.

The budget is calculated before financing or VAT recovery. Rent NPV is not added as though it were an upfront cash payment.

Why Can the Final Tax Differ from the Sum of Displayed Band Figures?

The calculator displays band contributions to the nearest penny and rounds calculated SDLT down to whole pounds. In lease mode, it rounds the premium and rent tax components separately before adding them. See HMRC’s explanation of SDLT calculation and rounding.

When Must Commercial SDLT Be Filed and Paid?

The usual SDLT return and payment deadline is 14 days after the transaction’s effective date. The effective date is often completion, but the transaction’s circumstances can bring it forward.

Enter the confirmed effective date to see an indicative deadline in your result. The tool does not file a return, make a payment or create an external reminder. Its date feature supports dates from 1 March 2019 onward; future calculations assume the checked rates remain unchanged.

A £0 tax estimate does not establish that no return is required. Confirm reporting obligations and the correct effective date with your conveyancer. Read HMRC’s SDLT return guidance.

Common Uses for This Commercial Property Tax Calculator

  • Estimating acquisition costs before making an offer on business premises.
  • Comparing the tax consequences of different proposed purchase prices.
  • Understanding how confirmed payable VAT affects the property-tax budget.
  • Reviewing the premium and rent tax components of a supported new lease.
  • Preparing a calculation summary to discuss with a conveyancer or accountant.
  • Adding known professional fees to a preliminary acquisition budget.

Who Can Use the Commercial Stamp Duty Calculator?

The calculator is useful for business owners buying premises, commercial property investors, individual purchasers and companies completing supported wholly non-residential purchases. Property professionals can also use its breakdowns to explain an indicative calculation.

It is designed for planning and comparison. It does not replace a professional assessment of property classification, VAT treatment, chargeable consideration or relief eligibility.

Which Transactions Need a Separate Assessment?

The calculator does not attempt to apply every SDLT rule. It refers transactions outside its supported scope for separate review, including:

  • Linked purchases or linked leases.
  • Transactions involving a relief or exemption.
  • Company purchases with a residential element.
  • Trusts, partnerships and other specialist buyer structures.
  • Connected-party transfers, exchanges and debt assumption.
  • Non-cash, contingent or uncertain consideration.
  • Residential purchases, shared ownership and acquisitions of multiple dwellings.
  • Existing lease assignments and other transfers.
  • Lease overlap relief, surrender and regrant, or transitional contracts.

Being outside this tool’s scope does not automatically mean more tax is payable. It means the standard calculation is insufficient to assess the transaction reliably.

Why Use Legal Sparrow’s Commercial Stamp Duty Calculator?

Legal Sparrow combines the estimate with its workings, helping you understand what the result includes and which assumptions support it.

  • Transparent calculations: review the price or premium tax bands and any separate rent tax.
  • Flexible VAT entry: distinguish between VAT-exclusive prices, inclusive prices and confirmed VAT amounts.
  • Scenario comparison: keep up to three snapshots while the page remains open.
  • Portable results: copy or download a report containing the calculation and assumptions.
  • Explicit scope: unsupported transactions are identified instead of silently applying standard rates.
  • Browser-based operation: no installation or account is required for the calculator.

Frequently Asked Questions

Does this calculator cover Wales and Scotland?

No. Its tax engine covers supported transactions in England and Northern Ireland. For Wales, use the official Land Transaction Tax calculator. For Scotland, use Revenue Scotland’s LBTT calculators.

Can I use it for a limited company buying commercial property?

Yes, when the company is completing a supported wholly non-residential transaction. The tool refers company purchases with a residential element for separate review because special corporate rules may apply. See HMRC’s corporate higher-rate guidance.

Can I use it for a shop with a flat above it?

The tool accepts confirmed mixed-use classifications for supported individual buyers. It does not decide whether a particular property qualifies. A property’s description in a sales listing is not enough to establish its tax treatment.

Should I enter my deposit or the full purchase price?

Enter the full chargeable property price, with VAT handled using the appropriate option. Do not use only the deposit, mortgage amount or cash contribution.

Does it calculate tax relief automatically?

No. It calculates standard-rate estimates and excludes transactions requiring relief or exemption assessment. Do not treat its result as a decision that no relief is available.

Can I enter annual rent instead of rent NPV?

No. The new-lease field requires a verified net present value of rent. Entering annual rent or undiscounted total rent would give an unreliable estimate.

Can I save or compare my calculations?

You can keep up to three comparison snapshots while the page is open. For a lasting copy, download the text report or use Print / PDF. Comparison snapshots are not stored permanently by the calculator.

Is my financial information stored by the calculator?

The calculator’s code processes inputs in your browser and does not send them to a calculation server or save them in persistent browser storage. Copying, downloading or printing creates a copy through the action you choose. Any wider website analytics or privacy practices are governed separately by the website’s privacy policy.

Does the calculator include legal fees and survey costs?

Only when you enter them in the optional other-costs field. The calculator adds those costs to the budget; it does not deduct them from the taxable property price or automatically estimate them.

Are the rates updated automatically?

No. The rates are embedded in the tool and were checked on 16 October 2026. Recheck official guidance before relying on a result for a later transaction.
